These Terms of Service ("Terms") govern your access to and use of Optapex, an AI-powered Amazon advertising optimization platform operated by LG CNS Co., Ltd. By accessing or using Optapex, you agree to be bound by these Terms.
1. Definitions
"Service" refers to the Optapex platform, including all AI optimization agents, dashboard interfaces, APIs, and related tools provided by LG CNS.
"User" or "You" refers to the individual or business entity that has registered for and uses the Service.
"Advertising Data" refers to Amazon Advertising campaign data, bid records, budget allocations, keyword performance, and related metrics accessed through the Service.
"AI Agents" refers to the automated optimization components within Optapex, including the Intelligence Agent, Planning Agent, and Execution Agent.
2. Use of the Service
2.1 Account Registration
To use Optapex, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
2.2 Authorized Use
You may use the Service solely for lawful business purposes related to managing Amazon Advertising campaigns. You agree not to:
Use the Service to violate Amazon's Advertising Policies or Seller Terms of Service
Attempt to reverse engineer, decompile, or extract the underlying AI models or algorithms
Share account access credentials with unauthorized third parties
Use automated scripts to interact with the Service outside of approved integrations
Misrepresent your identity, business, or advertising data to gain access to the Service
2.3 AI Execution Authorization
By enabling the AI Agents, you authorize Optapex to make automated bid adjustments, budget reallocations, and campaign optimizations within the parameters you configure. You remain responsible for all campaign outcomes, and Optapex does not guarantee specific advertising results.
3. Subscriptions and Billing
3.1 Subscription Plans
Optapex is offered on a subscription basis. Pricing is tiered based on your monthly Amazon advertising budget, as described on the Pricing page. All fees are stated in USD unless otherwise indicated.
3.2 Billing Cycle
Subscriptions are billed monthly or annually in advance. Your subscription renews automatically unless cancelled at least 5 business days before the renewal date.
3.3 Refund Policy
Fees paid for completed billing periods are non-refundable. If you cancel mid-period, you retain access through the end of that billing period. LG CNS reserves the right to issue discretionary refunds in exceptional circumstances.
4. Data and Integrations
4.1 Amazon API Access
Optapex accesses your Amazon Advertising data through Amazon's official Advertising API. You must authorize this connection through your Amazon Seller Central or Advertising Console account. You may revoke this authorization at any time, which will suspend AI Agent operation.
4.2 Data Ownership
You retain ownership of all your Advertising Data. Optapex processes this data solely to provide and improve the Service. We do not sell your data to third parties.
4.3 Aggregate Data
LG CNS may use anonymized, aggregated data derived from platform usage to improve AI model performance, develop benchmarks, and enhance the Service.
5. Intellectual Property
The Optapex platform, AI models, algorithms, interface design, and all associated intellectual property are owned exclusively by LG CNS Co., Ltd. These Terms do not transfer any intellectual property rights to you. You are granted a limited, non-exclusive, non-transferable license to use the Service during your active subscription.
6. Limitation of Liability
To the maximum extent permitted by applicable law, LG CNS shall not be liable for:
Indirect, incidental, consequential, or punitive damages arising from your use of the Service
Loss of advertising revenue, profits, or campaign performance outcomes
Interruptions or errors caused by Amazon platform changes, API outages, or third-party systems
Unauthorized access to your account if resulting from your failure to protect credentials
Our total aggregate liability to you for any claims arising under these Terms shall not exceed the total fees paid by you in the three months preceding the claim.
7. Termination
Either party may terminate these Terms at any time. LG CNS may suspend or terminate your access immediately if you violate these Terms, Amazon's policies, or engage in fraudulent activity. Upon termination, your right to use the Service ceases, and we will retain your data for 90 days before deletion, during which you may request an export.
8. Changes to Terms
We may update these Terms from time to time. We will notify active users via email at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
9. Governing Law
These Terms are governed by the laws of the Republic of Korea. Any disputes arising under these Terms shall be resolved in the competent courts of Seoul, Korea, unless otherwise required by applicable consumer protection law.
