1.1 Account Creation

To access LG Optapex, the Customer must create an account using a valid business email address verified by LG CNS. The Customer agrees to provide accurate, complete, and up-to-date information. The Customer shall promptly update any information if it changes.

1.2 Subscription Plans and Fees

LG Optapex services are offered on one or more subscription plans or tiers, which LG CNS may update or revise. By electing to use these plans, the Customer agrees to pay all applicable fees associated with the plan it selects. LG CNS will provide written or electronic notice at least [30 days] before any price changes become effective.

1.3 Billing and Payment

Unless otherwise specified, fees shall be due and payable in accordance with the billing schedule stated at sign-up. If the Customer fails to pay any invoice when due, LG CNS may (a) charge interest at the rate of [1.5% per month] or the maximum rate allowed by law, (b) suspend or terminate the service for nonpayment, and/or (c) require payment for future services on shorter terms.

1.4 Subscription management

Plan Changes:

- Monthly Plans

Upgrades: Plan upgrades take effect immediately upon the Customer's confirmation of the new subscription tier and applicable charges. The Customer's existing billing cycle anchor date remains unchanged.

Upon upgrade, a prorated adjustment will be calculated on a daily basis for the remainder of the current billing period.

The net prorated adjustment, together with the full charge for the next billing period at the new tier rate, will appear as a single line item on the Customer's next invoice. LG CNS uses Stripe as its payment processor, and proration calculations are determined by Stripe's billing engine at the time the subscription change is applied.

Downgrades or Cancellations: Apply at the start of the next billing cycle. Service access continues at the current tier level until the end of the current billing period. No partial refunds will be issued for unused days in the current cycle.

- Annual Plans

Upgrades: Mid-term upgrades incur a prorated charge for the remaining subscription period, calculated on a daily basis with adjustments made to reflect the annual discount structure.

Downgrades or Cancellations:

Downgrades or Cancellations of annual subscription plans are processed on a calendar-month basis. When a cancellation request is submitted, the subscription will remain active through the last day of the calendar month in which the cancellation request is received. Access will terminate at midnight on the first day of the following calendar month (the "Effective Cancellation Date").

The refund for early cancellation shall be calculated as follows:

1.     Determine the number of full calendar months consumed from the plan start date through the Effective Cancellation Date.

2.     Multiply the number of consumed months by LG CNS's standard undiscounted monthly rate applicable to the Customer's subscription tier at the time of purchase (the "Standard Monthly Rate"). The annual discount originally applied is not carried over to consumed months upon early cancellation — consumed months are repriced at the Standard Monthly Rate.

3.     Subtract that amount from the total annual fee paid.

4.     Apply a 10% early termination fee to the resulting refundable balance.

Formula:

Refundable Balance = Annual Fee Paid − (Consumed Months × Standard Monthly Rate)

Final Refund = Refundable Balance − (10% × Refundable Balance)

Where the product of consumed months multiplied by the Standard Monthly Rate equals or exceeds the annual fee paid, no refund shall be issued. All calculations are subject to LG CNS's verification of account activity and billing records.

Automatic Renewal: Subscriptions will automatically renew at the end of each subscription term for successive periods equal to the initial term, at the then-current subscription price, unless the subscription is cancelled before the renewal date.

The Customer must cancel no later than the exact time of the Customer’s subscription activation on the day before the renewal date to avoid being charged for the next term.

The Customer may cancel at any time by accessing billing page in LG Optapex solution or by contacting us at optapex@lgcns.com.

Cancellations take effect at the end of the current billing period.

New Subscriber Cancellation Right

LG CNS provides a 30-day free trial prior to the commencement of any paid subscription. By activating a paid subscription, the Customer acknowledges that integration of its Amazon account occurs during the free trial period, during which LG CNS infrastructure resources are consumed. The free trial period is not subject to any refund claim.

Notwithstanding the general cancellation terms above, a Customer activating its first paid subscription following completion of the free trial may cancel and receive a full refund of the first paid billing period's fee by submitting a written cancellation request to LG CNS within seven (7) calendar days of the first paid subscription activation date (the "Cancellation Right Window").

This Cancellation Right:

(a)   applies only once per account and does not apply to any renewal or subsequent billing periods;

(b)   does not apply where the account has been used in violation of these Terms during the Cancellation Right Window;

Refunds under this provision will be processed within 10 business days of the approved cancellation request.

General Refund Limitations

Outside of the Cancellation Right Window described above, unless required by applicable law, no partial refunds will be provided for early cancellation of a current billing period. The Customer remains liable for all fees incurred for the then-current billing period regardless of usage level. LG CNS is not obligated to refund any fees associated with infrastructure, API usage, or data processing costs incurred during any period in which the Customer's Amazon account was integrated with LG Optapex.
